Software Windows 98/NT/2000/Me/XP Microsoft .Net Framework 1.1 Microsoft Sql Server 2000 & above US software export agreement Terms and Conditions: USER AGREEMENT AND PRIVACY POLICY Product/s –I Collabarator Collaborative Platform Products or components, variations/derivatives/services thereof Agreement - USER AGREEMENT AND PRIVACY POLICY and related policies, guidelines and agreements Company – Jointly and severally Infynita Inc, its directors, advisors, contractors, stockholders, officers, employees, affiliates, partners, heirs and assigns You – Jointly and severally the User, the Developer, and his/her/its customers, users, employees, affiliates and partners. USER AGREEMENT Within the confines of this and related agreements, the Company’s grants you usage rights for Products based on or for I Collabarator collaborative platform (Product) are designed for use in the Enterprise and deployment in the ASP environment. Use or licensing of the Product grants “usage only” rights and is not intended to transfer from Infynita Inc (the Company) any Intellectual Property or ownership rights in/to the Product. You are obligated to accept without condition, limitations, reservation or modification all of the terms, conditions, and notices contained herein to access and/or use the Product/s. If You do not accept the Terms of Usage in its entirety at anytime, Your right/s of usage or access is/are automatically terminated. The Agreement may be subject to other rules or conditions and these may frequently change; all such changes, rules and conditions are hereby incorporated by reference into this Agreement. In the event that there is a conflict of language, reference or terms, the dominant or terms that prevail will apply and the conflicting language or terms will be severed without compromising the intent or the integrity of the Company’s Product/s. MODIFICATION OF THE AGREEMENT The Company reserves the sole right to change the terms of Agreement under which the Product/s is/are offered. You are responsible for regularly reviewing the prevalent Terms of Usage and its amendments/addendums; usage of the Product after any such change constitutes Your acceptance of this agreement signifies acceptance to such changes upon the change being affected. LIMITATIONS OF USE The Product may not be used for illegal or unauthorized usage of any kind, including but not limited to transmissions, data transfers, spreading malicious viruses, Trojan horses, hacking tools or codes, illegal or unauthorized file viewing, transmission, upload, sharing, access or availing/allowing rights for unauthorized files or files and data containing trade names, trademarks, - including but not limited to – graphics, images, songs, musical compositions, works of art, photographs, software programs, movies, and any kind of Intellectual Property Rights not owned by You or authorized for Your usage or transfer. You will not inhibit or cause to restrict or inhibit any other user/s from using the Product, violate social norms or legal laws and rights and privileges of others; garner private and unauthorized information on others, attempt to gather identity of other users – whether users of the Product or not – create false identity or identities with malicious intent and will not present Yourself to others in a manner conveying to be what You are not. By using the Product, You undertake not to control or attempt to gain unauthorized control of others’ computers and access devices for any reason whatsoever. You will not execute or cause to execute unauthorized remote commands on others’ computers or access devices, You will not spread or upload spying software, viruses, Trojan horses, bots, self-duplicating/spreading programs or instructions or any take any kind of action that could ultimately prove malicious or harmful to other users of the Product or to the Company. You will not use the Product in a manner that incites violence or fury, or any acts that are contrary to national security of the United States of America and other sovereign nations. You will not stalk, incite fear or promote hate mongering, promote acts of discrimination, acts of terrorism or promote/solicit resource that can contribute to any sort of national or social ill LIMITATIONS OF USE – SERVER SOFTWARE I Collabarator server component of the Product is designed as an Enterprise deployment, ASP (Application Service Provider) deployment with powerful usage applications. The number of end users is limited to the number of “end user” licenses paid for. The server is conceived to be used for ethical, legal and authorized Enterprise and ASP usage only. This Agreement is terminated, without recourse or recompense, forthwith upon use or intended use for illegal or unauthorized usage. You may not copy, transfer, sublicense or in anyway clone or reproduce the Product or its component/s at anytime for any purpose. As the server component of the Product resides on the Enterprise or ASP infrastructure, You may be obliged to monitor, report, access rights for actions that may be deemed unlawful or detrimental to other peoples’ rights. The built-in functions do allow the Administrator extensive control over end-user permissions, and if You deem these as inadequate, please contact the Company support@icollaborator.com. LIMITATIONS OF USE – CLIENT SOFTWARE Access to the I Collabarator server component (regardless of where it may reside), is possible by use of a client software. The client software may be a downloadable component, component to be installed from a CD ROM, a Java Applet on a web page, a scripted web page, a web page plug-in, a custom built access method or any other mode of access to the I Collabarator server is deemed to be the Client software, which is an integral and non-severable part of the Product. You may not modify, copy, distribute, transmit, display, perform, revere engineer, decompile, reproduce, publish, license, create derivative product from, transfer, or sell any services or information, software, products or services that are a part of the Product except as expressly provided in this Agreement. CAUTION Please beware that I Collabarator may require You to change firewall, port and other security settings thereby possibly jeopardizing Your security and exposing Your systems and critical data to hacking or other source of malicious damage. Please note that contrary to extemporious representation; forward-looking marketing material statements made to the contrary are hereby revoked. Where the Product has been deployed for authorized use as a public or private or enterprise messaging/collaborative platform, You are advised to use extreme caution and good judgment when giving out information that could identify You, Your family or possessions. Infynita Inc and its partners, subsidiaries, assigns, employees or heirs specifically disclaim any liability to any kind of loss, mishap or distress caused by Your usage of the Product or by others’ use of the Product. PRIVACY See Privacy statement below or elsewhere, which is an integral and non-severable part of this agreement. TRACKING By using the Product, and through other communications with the Company, the Company may collect personal information and data including, but not limited to, application and access usage data, viewing data, file transfer and email data, and personal contact information such as e-mail, IP or other contactable modes of addresses, mailing addresses and phone numbers. Additionally, the Product uses various methods for tagging and tracking including, but not limited to, cookies, login usernames and other technologies to track and associate data. OTHER LIMITATIONS Any unauthorized reproduction, modification, creating clones or derivates or redistribution of the Software is expressly prohibited by law, and may result in severe civil and criminal penalties. Violators will be prosecuted to the maximum extent possible. WITHOUT LIMITING THE FOREGOING, COPYING OR REPRODUCTION OF THE SOFTWARE TO ANY OTHER CLIENT, SERVER OR LOCATION FOR FURTHER REPRODUCTION OR REDISTRIBUTION IS EXPRESSLY PROHIBITED. THE PERMISSION TO USE THE PRODUCT AND THIS SOFTWARE LICENSE IS VALID ONLY ACCORDING TO THE TERMS OF THIS AGREEMENT. You acknowledge that the Product, and any accompanying documentation and/or technical information, is subject to applicable export control laws and regulations of the U.S.A. You agree not to export or re-export the Software, directly or indirectly, to any countries that are subject to U.S.A. export restrictions. The Product may use cookies or other tracking and usage methods to garner information in usage practices, etc; the intent of garnering this information is to curtail piracy of the Product and to use data and information for enhancements to future version of the Product, or for other use by the Company. Usage of the Product signifies Your approval of placement of cookies on Your computing device or usage of other tracking mechanism. If You do not agree to this clause, Your only recourse is to forthwith discontinue usage of the Product, without recourse or recompense. ‘REAL-TIME’ LIMITATIONS BEWARE THAT ALTHOUGH THE PRODUCT IS SOLD AND PROMOTED AS A ‘REAL-TIME’ COLLABORATIVE PLATFORM, THE TERM ‘REAL-TIME’ IS RELATIVE AND MEANT TO BE DESCRIPTIVE OF ITS ‘AS-FAST-ASPOSSIBLE’ CAPABILITY. IT DOES NOT ESSENTIALLY IMPLY AS AN EVENT TRANSPIRING AT THE VERY INSTANT IT WAS ACCESSED OR BEING DELIVERED AT THE INSTANT OF RELAY/BROADCAST. THE SPEED OF TRANSMISSION, CONDITIONS OF NETWORK, OF CONNECTIONS, OF CONNECTIVITY, DEFECTS IN THE PRODUCT, CONDITION OF HARDWARE AND RELATIVE SOFTWARE MAY IN SOME PART CAUSE TO DELAY ‘REAL-TIME’ CAPABILITY TO BE COMPROMISED OR MARGINALIZED TO A DEGREE THAT COULD CAUSE OR LEAD TO CAUSING MONETARY LOSSES AND OTHER DAMAGE. DISCLAIMER The Company makes no representations about the suitability, fitness or merchantability for any specific usage of any of its Products and/or Services. The Product/Service is licensed or allowed for usage on an “as-is” basis. Any claims, implied claims or allusions to the contrary are hereby revoked. The Product is provided “AS IS” without any warranty of any kind. In no event shall the Company, its employees, management, resellers, heirs or assigns be liable for any direct, indirect, punitive, consequential, or implied damages whatsoever including, without limitations, damages for loss or damages of any kind whatsoever, even of the Company has been advised of defect/s and breaches in its processes, Products or Service arising out of use of the Product whether based on contract, tort, negligence including failure to perform as expected. Since some jurisdictions do not allow limitations of liability, the above limitations may not apply to You. Your exclusive remedy in the event of unsatisfactory service or performance is to immediately cease the use of the Product and or associated services. JURISDICTION The laws of the State of New York, U.S.A, govern this Agreement; You hereby irrevocably consent to the exclusive jurisdiction and venue of courts in New York County, New York, U.S.A. in all disputes arising out of or relating to the use of the Product. You agree that no joint venture, partnership, employment, technology transfer or agency relationship exists between You and the Company as a result of this agreement or use of the Product. The Company reserves the sole rights to assign this agreement, in whole or in part. INFYNITA INC’S OBLIGATIONS AND INDEMNITY The Product is made available to You based on Infynita Inc’s obligations to abide by/to existing laws and legal process, and nothing contained in this agreement is in derogation of Company’s right to comply with governmental, court and law enforcement requests or requirements relating to Your use of the Product or Service. You agree to unconditionally indemnify and hold Infynita Inc, its parents, subsidiaries, affiliates, officers and employees, resellers heirs and assigns harmless from any claim, demand, or damage, including reasonable attorneys' fees, asserted by any third party due to or arising out of Your use of the Product. SEVERABILITY OF AGREEMENT If any term or provision of this Agreement is determined to be illegal, unenforceable, or invalid in whole or in part for any reason, such illegal, unenforceable, or invalid provisions or part thereof shall be stricken from this Agreement, and such provision shall not affect the legality, enforceability, or validity of the remainder of this Agreement. If any provision or part thereof of this Agreement is stricken in accordance with the provisions of this section, then this stricken provision shall be replaced, to the extent possible, with a legal, enforceable, and valid provision that is as similar in tenor to the stricken provision as is legally possible. HEADINGS The headings in this Agreement are included for convenience only and shall neither affect the construction or interpretation of any provision in this Agreement nor affect the stance this Agreement. ENTIRE AGREEMENT This Agreement and all other agreements, addendums and amendments by the Company as referred to in this Agreement constitute/s the final, complete, and exclusive statement of the terms of the agreement between the parties pertaining to the subject matter of this Agreement and supersedes all prior and contemporaneous understandings or agreements of the parties. This Agreement may not be contradicted by evidence of any prior or contemporaneous statements or agreements. No party has been induced to enter into this Agreement by, nor is any party relying on, any representation, understanding, agreement, commitment or warranty outside those expressly set forth in this Agreement. INTELLECTUAL PROPERTY NOTICES All contents and programs in or related to the Product are the intellectual property right of Infynita Inc, its vendors or their respective owners. ATTORNEY FEES PROVISION In any litigation, arbitration, or other proceeding by which one party either seeks to enforce its rights under this Agreement (whether in contract, tort, or both) or seeks a declaration of any rights or obligations under this Agreement, the prevailing party shall be awarded its reasonable attorney fees, and costs and expenses incurred. MODIFICATION OF THE AGREEMENT This Agreement may be supplemented, amended, or modified only by the Company. No supplement, amendment, or modification of this Agreement shall be binding unless it is in writing and signed by the Company. SEPARATE WRITINGS AND EXHIBITS Should any inconsistency exist or arise between a provision of this Agreement and a provision of any exhibit, schedule, or other incorporated writing, the provision of this Agreement shall prevail. TIME OF THE ESSENCE Time is of the essence in respect to all provisions of this Agreement that specify a time for performance; provided, however, that the foregoing shall not be construed to limit or deprive a party of the benefits of any grace or use period allowed in this Agreement. SURVIVAL Except as otherwise expressly provided in this Agreement, representations, warranties, and covenants contained in this Agreement, or in any instrument, certificate, exhibit, or other writing intended by the parties to be a part of this Agreement, shall survive for three (3) years after the date of this Agreement. AMBIGUITIES Each party and its counsel have participated fully in the review and revision of this Agreement. Any rule of construction to the effect that ambiguities are to be resolved against the drafting party shall not apply in interpreting this Agreement. The language in this Agreement shall be interpreted as to its fair meaning and not strictly for or against any party. WAIVER No waiver of a breach, failure of any condition, or any right or remedy contained in or granted by the provisions of this Agreement shall be effective unless it is in writing and signed by the party waiving the breach, failure, right, or remedy. No waivers of any breach, failure, right, or remedy, whether or not similar, nor shall any waiver constitute a continuing waiver unless the writing so specifies. NECESSARY ACTS, FURTHER ASSURANCES The parties shall at their own cost and expense execute and deliver such further documents and instruments and shall take such other actions as may be reasonably required or appropriate to evidence or carry out the intent and purposes of this Agreement. EXECUTION This Agreement may be deemed executed, via e-mail or otherwise electronically and/or by facsimile. This and other Agreements will also be deemed executed upon selecting the option that signifies acceptance at the time of download and/or installation of the Product, on the Product or on the Website; or be automatically deemed accepted upon commencing the use of the Product. Any usage of the Product thereof will be to Your cost and consequence. CONSENT TO JURISDICTION AND FORUM SELECTION The parties hereto agree that all actions or proceedings arising in connection with this Agreement shall be tried and litigated exclusively in the State and Federal courts located in the County of New York, State of New York, USA. The aforementioned choice of venue is intended by the parties to be mandatory and not permissive in nature, thereby precluding the possibility of litigation between the parties with respect to or arising out of this Agreement in any jurisdiction other than that specified in this paragraph. Each party hereby waives any right it may have to assert the doctrine of forum non conveniens or similar doctrine or to object to venue with respect to any proceeding brought in accordance with this paragraph, and stipulates that the State and Federal courts located in the County of New York, State of New York, USA, shall have in personam jurisdiction and venue over each of them for the purpose of litigating any dispute, controversy, or proceeding arising out of or related to this Agreement. Each party hereby authorizes and accepts service of process sufficient for personal jurisdiction in any action against it as contemplated by this paragraph by registered or certified mail, return receipt requested, postage prepaid, to its address for the giving of notices as set forth in this Agreement. Any final judgment rendered against a party in any action or proceeding shall be conclusive as to the subject of such final judgment and may be enforced in other jurisdictions in any manner provided by law. JURY TRIAL WAIVERS To the fullest extent permitted by law, and as separately bargained-for-consideration, each party hereby waives any right to trial by jury in any action, suit, proceeding, or counterclaim of any kind arising out of or relating to this Agreement. SPECIFIC PERFORMANCE The parties acknowledge that it will be impossible to measure in money the damage to them caused by any failure to comply with the covenants set forth in this agreement, that each such covenant is material, and that in the event of any such failure, the injured party will not have an adequate remedy at law or in damages. Therefore, the parties consent to the issuance of an injunction or the enforcement of other equitable remedies against them at the suit of the other, without bond or other security, to compel performance of all of the terms of this agreement, and waive the defense of the availability of relief in damages. FORCE MEJEURE No party shall be liable for any failure to perform its obligations in connection with any action described in this Agreement, if such failure results from any act of God, riot, war, civil unrest, flood, earthquake, or other cause beyond such party’s reasonable control, including any mechanical, electronic, or communications failure. ARBRITRATION Where possible, the first mode of remedying a breach will be by means of Arbitration. Any controversy, claim or dispute arising out of or relating to this Agreement, shall be settled by binding arbitration in New York, New York. Such arbitration shall be conducted in accordance with the then prevailing commercial arbitration rules of JAMS/Endispute (“JAMS”), with the following exceptions if in conflict: (a) one arbitrator shall be chosen by JAMS; (b) each party to the arbitration will pay its pro rata share of the expenses and fees of the arbitrator, together with other expenses of the arbitration incurred or approved by the arbitrator; and (c) arbitration may proceed in the absence of any party if written notice (pursuant to the JAMS’ rules and regulations) of the proceedings has been given to such party. The parties agree to abide by all decisions and awards rendered in such proceedings. Such decisions and awards rendered by the arbitrator shall be final and conclusive and may be entered in any court having jurisdiction thereof as a basis of judgment and of the issuance of execution for its collection. All such controversies, claims or disputes shall be settled in this manner in lieu of any action at law or equity; [provided however, that nothing in this subsection shall be construed as precluding the bringing an action for injunctive relief or other equitable relief]. The arbitrator shall not have the right to award punitive damages or speculative damages to either party and shall not have the power to amend this Agreement. The arbitrator shall be required to follow applicable law. IF FOR ANY REASON THIS ARBITRATION CLAUSE BECOMES NOT APPLICABLE, THEN EACH PARTY, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HEREBY IRREVOCABLY WAIVES ALL RIGHT TO TRIAL BY JURY AS TO ANY ISSUE RELATING HERETO IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT OR ANY OTHER MATTER INVOLVING THE PARTIES HERETO. UNDERSTANDING Both Parties agree that this Subscription Agreement is the complete and exclusive statement of the mutual understanding of the Parties and supersedes and cancels all previous written and oral agreements, communications and other understandings relating to the subject matter of this Agreement and that all modifications as modified will become applicable and enforceable, except as otherwise provided herein. No agency, partnership, joint venture or employment is created as a result of this Agreement and You do not have any authority of any kind to bind the Company in any respect whatsoever. In any action or proceeding to enforce rights under this Agreement, the prevailing Party will be entitled to recover costs and reasonable attorneys' fees. NOTICE All notices under this Agreement will be in writing and will be deemed to have been duly given when received, if personally delivered; when receipt is electronically confirmed, if transmitted by facsimile or e-mail; the day after it is sent, if sent for next day delivery by recognized overnight delivery service; and upon receipt, if sent by certified or registered mail, return receipt requested. FAILURE OT ENFORCE The Company’s’ failure to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision unless acknowledged and agreed to by an authorized representative of the Company in writing. It is the express will of the Parties that this Agreement and all related documents have been drawn up in English. PRIVACY POLICY By using the Product, and through other communications with the Company, the Company may collect personal information and data including, but not limited to, application and access usage data, viewing data, file transfer and email data, and personal contact information such as e-mail, IP or other contactable modes of addresses, mailing addresses and phone numbers. Additionally, the Product uses various methods for tagging and tracking including, but not limited to, cookies, login usernames and other technologies to track and associate data. The Company is not in the business of renting, selling or sharing personal information about You with other individuals or entities not associated or affiliated with us except to provide products or services You have requested, and even so only when we have Your permission, or under the following circumstances: The Company may share a part or all the information to trusted partners who work on behalf of or with the Company. These companies may use Your personal information to help the Company communicate with You about offers from the Company and our marketing partners. However, these entities are not granted the right to share this information. Information posted to public areas such as of or for the Company on Web Forms, Message Boards, Guest books, etc., may be accessed by other people and nonaffiliated companies. Please use utmost care and caution in sharing information in publicly accessible forums, web forms, etc., as this can easily be ‘layered’ with other information about You from other sources and be used in a mode that could invade Your privacy. The Company may also possess or acquire information that can identify You personally. Our aim is to enhance our understanding of the usage patterns of our Product/s and/or Services for enhancements in our future Products and Services. You accept and understand that the Company has limited or no control or may not find it viable to control such instances and You hold the Company, its employees, officers, affiliates, partners, heirs and assigns harmless in the event of any damage or loss. The Company will share information with law enforcement authorities upon reasonable request, we will respond to subpoenas, court orders, or legal process, or to establish or exercise our legal rights or defend against legal claims; The Company may find it necessary to share information in order to investigate, prevent, or take action regarding immoral or illegal activities, suspected fraud, situations involving potential threats to the physical safety of any person, violations of this and other agreements of/by/for the Company, or as otherwise required by law. If the Company is sold, ownership diluted or transferred, acquired by or merged with another company, all information with the Company will be transferred along with the rights hereto intact. In this event the governing policies of new entity could also become integral to this and other agreements. We will use reasonable efforts to comply with this privacy policy and will take prompt corrective action when we learn of any failure to comply with our privacy policy; but software and hardware being technically complex and product/service are in an evolutionary cycle, we may not always be able to identify flaws and inadvertently catch an unintended privacy issue, despite our intent or efforts to do so. We welcome user feedback on any privacy concerns You may have. In light of the above and the technology and business cycles, the Company does not guarantee error-free performance under this agreement. The Company shall not be liable for any incidental, actual, implied or consequential or punitive damages relating to this privacy policy. This policy may change from time to time, and any changes are binding on You. Please do request an updated version of this and other agreements/policies time to time from the Company All data and information becomes and remains the property of the Company once it is provided to us, even in the event of discontinuance of Product/Service. USE OF THE PRODUCT IS CONTINGENT UPON ACCEPTANCE OF THIS AND OTHER POLICIES/AGREEMENTS AND ALL OF THE TERMS IN IT. END OF AGREEMENT   Accept Terms and Conditions
